Job Description

We are seeking to recruit new Trustees who share our ambition to support individuals and communities throughout the UK through our Santander Foundation. This is an exciting time for Santander Foundation as we implement our new strategic plan.  To ensure we excel in the execution of our new plan and meet the challenges over the coming years we are looking to broaden the skillset of our Trustees.

 

About Santander Foundation

Founded in 1990 the Santander Foundation is a corporate foundation, established with the purpose to help disadvantaged individuals and communities. The Foundation has until recently delivered two main programs:

  • Discovery Grants – a small grants programme helping people have the confidence to make the most of their future by supporting projects that improve skills, knowledge and innovation; awarded 716 grants worth £3,249,783 in 2018;

  • Match Donations – supports employee’s fundraising efforts with a matched donation; £2,139,138 was awarded to charities on behalf of 1,615 employees in 2018.

 

This year the Trustees have conducted a strategic review and concluded that the new focus will be aiding and supporting individuals and communities with financial and digital skills. We will be awarding grants of up to £150,000 over 3 years to organisations delivering skills training and support across the UK. At the same time, we will continue to award Matched Donations to encourage current Santander employees to engage with their local community.

The Santander Foundation is a registered charity. It has an annual budget of £3.3m and an endowment worth £14m. The charity is managed by seconded Santander UK staff members:

  • CSR manager - 17.5 hours per week

  • Marketing Executive – 1.5 hour per week

  • Senior sustainability manager - 3.5 hours per week

 

Trustee Role

To support succession plans and increase the collective skills and experience of the Trustee Board, we are looking to recruit new Trustees.

The duties of a Trustee are to:

  • ensure that Santander Foundation complies with its governing document, charity law, company law and any other relevant legislation or regulations;

  • ensure that Santander Foundation pursues its objectives as defined in its governing document;

  • ensure Santander Foundation applies its resources exclusively in pursuance of its objectives;

  • contribute actively to the Board of Trustees by giving firm strategic direction, setting overall policy, defining goals, setting targets, and evaluating performance against agreed targets;

  • safeguard the good name and values of Santander Foundation;

  • ensure the financial stability of Santander Foundation;

  • ensure the effective and efficient administration of Santander Foundation;

  • ensure the proper investment of Santander Foundation’s funds; and

  • support staff and monitor their performance.

Trustees should also make full use of any specific skills, knowledge or experience to help the Board make good decisions.

Each trustee must have:

  • a commitment to the Santander Foundation;

  • a willingness to meet the minimum time requirement;

  • strategic vision;

  • good, independent judgement;

  • financial acumen;

  • an ability to think creatively;

  • a willingness to speak up and appropriately challenge other Trustees and staff;

  • an understanding and acceptance of the legal duties, responsibilities and liabilities of trusteeship; and

  • an ability to work effectively as a member of a team and to take decisions for the good of Santander Foundation.

In addition to the Trustees duties detailed above, we are especially keen to hear from candidates with the following skills and experience: 

  • Knowledge of the financial and/or digital skills sector.

  • Knowledge of the UK charitable and voluntary sector.

  • Experience of being a Trustee and/or knowledge of charity governance and charity law/regulation.

  • Experience of grant-making.

Commitment

Trustees will need to prepare for and attend a minimum of four Board meetings per year. Trustees will also be expected to support the Foundation between meetings, for example, to take part in strategic work, represent the Foundation at meetings and visit organisations we fund. Trustees should also keep informed about the activities of Santander Foundation and wider issues which affect its work. We estimate the commitment to require 6 days per year.

The appointments are expected to commence in October 2019 for a three-year term, in the first instance.  

The post is voluntary and unremunerated. Reasonable travel expenses will be paid.
