Board of Trustees Role Description


Overall purpose

The role of the Treasurer has specific duties, responsibilities in addition to those specific to the role of Trustee as follows:

  • To maintain an overview of the organisation’s financial affairs
  • To ensure that proper financial records and procedures are kept and maintained, ensuring financial resources are spent and invested in line with the organisation’s policies, good governance, legal and regulatory requirements.
  • To ensure the development and implementation of financial, reserves and investment policies
  • To ensure the organisation’s financial viability

Main Duties

  • To oversee, and present budgets, summary management accounts, financial reports and financial statements to the Board of Trustees after discussion with the CEO
  • Liaising, where applicable, with the CEO and Finance Officer on financial matters
  • Chairing the Finance and Performance Sub-Committee in line with terms of reference, and reporting back to the Board of Trustees
  • Liaising with the organisation’s auditors, where appropriate, and ensuring any recommendations made by the auditors are implemented
  • Ensuring that appropriate accounting procedures and controls are in place and adhered to and implemented, where necessary
  • To advise on the financial implications of the organisation’s strategic plan
  • Liaising with the CEO and Finance Officer, where applicable, to ensure that the organisation’s annual accounts are compliant with the current Charities SORP, and prepared and disclosed in the form required by funders and relevant statutory bodies
  • Acting as a counter-signatory on the organisation’s cheques and electronic payments and any applications for funds, as required
  • Ensuring the maintenance of sound financial management of the organisation’s resources, ensuring expenditure is in line with the organisation’s objects and are sufficient to meet its present and future needs
  • Contributing to the fundraising strategy of the organisation
  • Ensuring that the charity has an appropriate reserves policy
  • Ensuring all equipment and assets are adequately controlled, maintained and insured
  • Keeping the Board informed about its financial duties and responsibilities

Specific time Commitment for the Treasurer

It is anticipated that the Treasurer will need to commit approximately 1-2 hours per month in addition to their Trustee duties.

Qualities of a Treasurer

  • Skills to analyse proposals and examine their financial consequences
  • Preparedness to make objective and rational recommendations to the  Board of Trustees
  • Good, independent judgement
  • Tact and diplomacy
  • Willingness to speak one’s mind and listen to the views of others

Desirable experience

  • Prior experience or knowledge of charity finance, fundraising and pension schemes
  • A recognised accountancy qualification, ACA, ACCA or CIMA

Trustee and Management Committee National Occupational Standards

Mind in Brighton and Hove expects all Trustees, as individuals and collectively, to meet the standards set out in the Trustee National Occupational Standards:

  • Safeguarding and promoting the values and mission of the organisation
  • Determining the strategy and structure of the organisation
  • Being effective, responsible and accountable as Trustees and a Board of Trustees
  • Ensuring that the Board of Trustees functions effectively

Main Responsibilities

  • To be aware of, and conform to, the responsibilities of a charitable trustee and director of a company limited by guarantee
  • To ensure that Mind in Brighton and Hove complies with charity law and other relevant legislation and regulations and continually strives for best practice in governance
  • To act, as Trustees, with integrity and trust towards beneficiaries of Mind in Brighton and Hove, in a way that adds to public confidence and trust in Mind in Brighton and Hove, representing it in the public arena as appropriate
  • To take appropriate professional advice in all matters where there may be a material risk to Mind in Brighton and Hove, or where the trustees may be in breach of their duties
  • To determine the overall direction and development of Mind in Brighton and Hove through good governance and clear strategic planning.
  • To avoid any personal and all professional conflict of interest
  • To manage and use the resources of Mind in Brighton and Hove so as to optimise its potential
  • To ensure that robust systems are in place for internal financial control and the protection of Mind in Brighton and Hove’s funds and assets, ensuring the organisation’s financial stability
  • To undergo a thorough induction upon appointment and ongoing training to remain alert to, and aware of, their duties and responsibilities, and of the environment in which they operate
  • To ensure that Mind in Brighton and Hove pursues its charitable objects, as defined in its Memorandum and Articles of Association and ensure it applies its resources in pursuance of those objectives
  • To sit on recruitment and appeal panels and attend other internal meetings as appropriate
  • Ensuring a fully effective and appropriate system for the recruitment, appointment and monitoring of the work and activities of the Director and, where applicable, other members of the management team
  • Ensuring the effective and efficient administration of Mind in Brighton and Hove and its resources
  • To maintain absolute confidentiality about all aspects of the Trustees’ business, bearing in mind the over-riding legal obligations placed upon trustees
  • To respect the boundaries between executive and governance functions

Desirable Experience

  • Prior experience of Trusteeship
  • Prior experience of Committee work
  • Previous involvement in the charity/not for profit sector
  • Previous experience of mental health services
  • Lived experience of mental health issues

Time Commitments

  • Trustees are expected to attend a bi-monthly Board meeting: these are usually held between 6 and 8pm at our offices at 51, New England Street Brighton
  • There is an expectation that Trustees do not miss more than one consecutive meeting and no more than 2 meetings per year
  • Trustees will also be asked to be a member of a Sub-Committee of the Board of Trustees.  Usually Trustees will be asked to be part of a Sub-Committee which they are qualified by experience of knowledge skills.  Sub-Committees meet bi-monthly.  Times for these meetings vary although they are usually on working days
  • Trustees will be expected to familiarise themselves with the work of Mind in Brighton and Hove through visits to project
  • Trustees are also expected to attend Service Events, Trustee Training and networking events relevant to the organisation’s work e.g. Local Mind Association meetings, national conferences etc.

We estimate that Trustees will need to commit around 2-4 hours per month.


Board of Trustees Review of Effectiveness and Trustee Appraisal

  • Once a year, the Board of Trustees will have an away day in order for it to review its effectiveness.
